Station Owner Terms & Agreement
Please review these terms carefully before creating, activating, or operating your UPM Radio station.
Station Owner Terms and User Agreement
UPM Radio provides technology that allows users to create, operate, manage, and broadcast through their own online radio stations and related digital programming.
Before creating, activating, or operating a station, each user must review and agree to these Station Owner Terms and User Agreement.
By checking the agreement box and selecting Create Station, Activate Station, Continue, or a similar acceptance button, you acknowledge that you have read, understood, and agreed to these terms.
UPM Radio Is the Technology and Hosting Platform
UPM Radio provides technology and services that may include online radio station hosting, streaming infrastructure, station management tools, AutoDJ, media storage, playlists, scheduling, DJ and Streamer accounts, live broadcasting capabilities, podcast tools, listener information, Music Store functionality, and other digital broadcasting features.
UPM Radio provides the platform through which station owners can create and operate their stations.
The individual station owner controls the programming and content placed on their station.
UPM Radio does not become the owner, producer, publisher, sponsor, employer, manager, or representative of a user's station merely because the station uses UPM Radio technology.
Your Station, Your Responsibility
When you create a UPM Radio station, you are responsible for the operation of your station and the content transmitted, uploaded, streamed, broadcast, published, displayed, or distributed through it.
This includes content added or transmitted by you and, to the extent permitted by applicable law, people you authorize to use your station.
Station owners should carefully control who receives access to their station.
Account Information
You agree to provide accurate account and station information.
You are responsible for maintaining the confidentiality and security of your account credentials.
- Do not share your primary station owner password with DJs, hosts, employees, students, contractors, or other broadcasters.
- Where available, create separate DJ or Streamer accounts for authorized broadcasters.
- Manage and disable accounts when access is no longer authorized.
Music, Copyright and Intellectual Property
You may only upload, stream, broadcast, reproduce, distribute, publish, display, or otherwise use content that you own or have the appropriate authorization, permission, license, or other legal right to use.
This responsibility applies to music, sound recordings, musical compositions, podcasts, interviews, photographs, artwork, logos, videos, advertisements, recorded shows, station IDs, graphics, written material, and other copyrighted or protected content.
UPM Radio's hosting of content does not mean that UPM Radio has granted you copyright ownership or permission to use intellectual property belonging to another person or organization.
Music Licensing and Royalties
UPM Radio provides the technology, hosting, station management tools, streaming infrastructure, podcast tools, AutoDJ capabilities, and broadcasting platform.
Unless UPM Radio expressly states otherwise in writing, UPM Radio does not automatically obtain or pay music licensing fees, royalties, or other rights obligations on behalf of individual station owners, DJs, podcasters, broadcasters, or content providers.
Depending upon how content is used and applicable law, a station owner or content provider may need to obtain or address rights or obligations involving:
- Music performance royalties
- Sound recording royalties
- Musical composition rights
- Mechanical rights when applicable
- Synchronization rights when applicable
- Podcast music licensing
- Copyright permissions and clearances
- Rights involving uploaded artwork, photographs, videos, recordings, graphics, and other protected content
- Other applicable intellectual property licenses or permissions
Each user is responsible for determining which licenses, permissions, clearances, royalties, or other rights apply to their particular programming and use.
Music Store Purchases
The UPM Radio Music Store may allow users to discover and purchase music.
Purchasing a song through the UPM Radio Music Store does not automatically transfer ownership of the copyright and does not automatically provide unlimited broadcasting, public performance, reproduction, redistribution, synchronization, commercial use, or other intellectual property rights.
The rights associated with a music purchase depend upon the license and terms applicable to that particular music.
Podcasts
Station owners may use UPM Radio tools to create, upload, manage, and publish podcasts and podcast episodes.
You are responsible for the content contained in your podcasts, including music, interviews, guest appearances, clips, recordings, artwork, photographs, trademarks, and other material incorporated into an episode.
Publishing a podcast through UPM Radio does not automatically provide music licenses or other third party intellectual property rights.
Live Broadcasting
UPM Radio may provide connection information that allows authorized users to broadcast through compatible applications such as BUTT, Mixxx, OBS Studio, and other supported broadcasting software.
You are responsible for your live programming and for the people you authorize to broadcast through your station.
Station owners should protect server information, passwords, usernames, stream keys, and other private connection credentials.
Do not publicly post private broadcasting credentials.
AutoDJ, Playlists and Scheduled Programming
AutoDJ and playlist scheduling allow programming to continue without a live broadcaster.
The station owner remains responsible for music and other content transmitted through AutoDJ, playlists, scheduled programming, or other automated features.
Automation does not transfer responsibility for the content to UPM Radio.
User Generated Content
You retain whatever ownership rights you legally hold in original content you submit to UPM Radio.
By uploading or transmitting content through the platform, you authorize UPM Radio to host, process, transmit, stream, display, store, and technically reproduce that content as reasonably necessary to provide the service.
This permission does not transfer ownership of your original content to UPM Radio.
You represent that you have sufficient rights to provide UPM Radio with the permissions necessary to operate the service for your content.
Prohibited Content and Activities
You may not use UPM Radio to knowingly engage in unlawful activity or distribute content that you do not have the legal right to use.
- Fraud
- Impersonation
- Unauthorized access
- Malicious activity
- Intellectual property infringement
- Unlawful threats
- Unlawful harassment
- Exploitation
- Other conduct prohibited by applicable law
Users may not attempt to interfere with, damage, overload, bypass, reverse engineer where prohibited by law, or gain unauthorized access to UPM Radio systems, accounts, servers, or infrastructure.
Content Complaints and Copyright Claims
UPM Radio may receive complaints concerning material transmitted or hosted through a station.
UPM Radio may investigate complaints and may remove, restrict, disable, or preserve access to content or accounts when reasonably necessary to comply with applicable law, legal process, platform policies, or legitimate intellectual property complaints.
Station owners are expected to cooperate with legitimate investigations involving content transmitted through their stations.
A separate copyright complaint or DMCA procedure should be published where required or appropriate.
Station Names, Logos and Trademarks
You are responsible for ensuring that your station name, logo, artwork, branding, domain, program names, and other identifying materials do not unlawfully violate another party's trademark, copyright, publicity, or other rights.
UPM Radio's acceptance of a station name or logo does not constitute legal clearance or approval of those rights.
Recording People and Interviews
Station owners are responsible for obtaining any consent or permission legally required when recording, broadcasting, publishing, or distributing interviews, telephone calls, conversations, performances, appearances, or other recordings involving third parties.
Recording and consent laws can differ by jurisdiction.
Advertising, Sponsorships and Commercial Content
Station owners are responsible for advertisements, sponsorships, endorsements, promotions, paid placements, contests, giveaways, and commercial claims appearing through their stations.
Where applicable, users are responsible for legally required disclosures and for ensuring that advertising or promotional claims are not misleading or unlawful.
Children and Minors
If a station, program, organization, school, internship, or other activity involves minors, the station owner or responsible organization is responsible for obtaining appropriate parental, guardian, organizational, or other permissions when required.
Users are responsible for complying with laws applicable to collecting, publishing, recording, or otherwise processing information or content involving minors.
Privacy and Personal Information
Station owners should not collect, publish, disclose, or misuse another person's private or personal information without appropriate authorization or a lawful basis.
If you independently collect personal information from your listeners, customers, students, guests, employees, or other individuals, you are responsible for determining and complying with the privacy requirements applicable to that activity.
UPM Radio's own collection and processing of user information should be addressed in a separate Privacy Policy.
Third Party Software and Services
Some UPM Radio functionality may work with third party software, applications, websites, payment services, broadcasting tools, or other external services.
Those third parties may have their own terms, privacy policies, licenses, fees, and requirements.
UPM Radio is not responsible for a third party's independent terms, policies, products, services, or availability.
Service Availability
Internet broadcasting depends upon internet connectivity, servers, networks, software, hosting infrastructure, third party systems, user equipment, and other technology.
UPM Radio does not guarantee that every feature will operate without interruption or error at all times.
Maintenance, upgrades, technical problems, security incidents, third party outages, or circumstances beyond reasonable control may temporarily affect service availability.
Packages, Storage and Listener Limits
Station features may depend upon the package selected by the user.
Packages may have different storage capacities, bitrate limits, simultaneous listener limits, station features, or other usage limits.
Users are responsible for reviewing the package they select. UPM Radio may offer upgrades when additional capacity or functionality is needed.
Fees, Billing and Renewal
Users are responsible for applicable subscription charges, purchases, and other fees disclosed before purchase.
The checkout or subscription process should clearly disclose whether a payment is recurring, the billing frequency, renewal terms, and available cancellation procedures.
Failure to maintain required payment may result in restrictions, suspension, expiration, or termination of paid services, subject to applicable law and the applicable billing terms.
Any refund policy should be separately stated and incorporated into these Terms.
Station Suspension or Termination
UPM Radio may restrict, suspend, or terminate access when reasonably necessary because of nonpayment, security concerns, material violations of these Terms, unlawful activity, repeated intellectual property violations, misuse of the platform, or circumstances requiring action under applicable law.
Where appropriate and legally permissible, UPM Radio may provide notice or an opportunity to correct a violation.
Termination by the User
Users may stop operating their station or cancel eligible services according to the cancellation procedures provided by UPM Radio.
Users should download or preserve any content they are legally entitled to retain before account termination when such download functionality is available.
UPM Radio is not required to retain terminated account content indefinitely unless required by law or expressly agreed otherwise.
No Guarantee of Audience, Income or Results
UPM Radio provides technology for creating and operating online stations.
UPM Radio does not guarantee listener numbers, audience growth, advertising revenue, sponsorships, music sales, business income, employment opportunities, popularity, or other particular results from operating a station.
User Indemnification
To the extent permitted by applicable law, users may be responsible for claims, losses, liabilities, or expenses resulting from their content, their violation of these Terms, their infringement of third party rights, or their unlawful use of the service.
The final scope and wording of any indemnification obligation should be reviewed by UPM Radio's attorney before publication.
Limitation of Liability
Any limitation of liability, warranty disclaimer, damages limitation, and related risk allocation should comply with applicable law and should be reviewed by UPM Radio's attorney before being placed into production.
These provisions can have significant legal consequences and should not simply be copied from another platform.
Changes to These Terms
UPM Radio may update these Terms when the platform, services, legal requirements, or business practices change.
When required, users will be provided appropriate notice of material changes.
Continued use after an updated agreement becomes effective may constitute acceptance where permitted by applicable law.
Governing Law and Dispute Terms
The final Terms should identify the governing law, legal entity operating UPM Radio, business address, dispute resolution process, venue, and any arbitration or class action provisions the company elects to use.
These provisions should be completed by UPM Radio's attorney rather than assumed in this draft.

Before Creating a Station
Users should affirmatively agree to these Terms before creating or activating a station.
I have read and agree to the UPM Radio Station Owner Terms and User Agreement and Privacy Policy. I understand that I am responsible for the content uploaded, streamed, broadcast, distributed, or published through my station and for obtaining and maintaining any music licenses, royalty permissions, copyright clearances, releases, consents, and other rights required for my station and its content.
